Law of Contracts - Prof.Roy Kreitner
Contract is a central mechanism for the creation and transfer of legal entitlements. The goal of the course is to provide students with the critical tools to understand and analyze the law of contracts. To that end, we will discuss the rules governing contracts, the justifications for the rules, and the overarching principles that guide the design of contract law and its relationship with other fields of private law. Among other topics, the course will touch on contractual planning and risk allocation; pre-contractual negotiation and liability; contract formation and contractual consent; contractual performance and interpretation; breach of contract and remedies for breach; freedom of contracts; and good faith in contractual performance.
